Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Klean Profit AI platform ("Service") operated by Future Simple Solutions ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. The Service

Klean Profit AI is a subscription-based SaaS platform for profit analysis, data quality management, and connector integrations. We reserve the right to modify or discontinue features with reasonable notice.

2. Account registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• One organisation account may have multiple team members. The account owner is responsible for all activity under the account.
• You must be at least 18 years old and legally authorised to enter into contracts on behalf of your organisation under Indian law.
• Notify us immediately at [email protected] if you suspect unauthorised access to your account.

3. Acceptable use

You must not:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Use the Service in violation of the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, or any other applicable Indian law.
• Post or transmit content that is harmful to national sovereignty, integrity, or public order.
• Attempt to reverse-engineer, decompile, or circumvent security measures.
• Upload malicious code or data intended to disrupt the Service.
• Share your account credentials with parties outside your organisation.
• Resell or sublicense access to the Service without our prior written consent.

4. Subscription and billing

• Subscriptions are billed in advance on a monthly or annual basis.
• Prices are shown in Indian Rupees (₹) and are inclusive of applicable GST under the Goods and Services Tax Act, 2017.
• We may change pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the revised pricing.
• You may cancel your subscription at any time from account settings. Access continues until the end of the current billing period.
• Refunds are not provided for partial billing periods. If you believe a charge is in error, contact us within 14 days of the charge.

5. Your data

You retain full ownership of all business data you import or sync into the Service. We process it solely to provide the Service, in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023 (India). On account deletion, your data is removed within 90 days. We do not use your business data to train AI models or for any purpose beyond operating the Service.

6. Our intellectual property

The Service, including its software, design, and documentation, is owned by Future Simple Solutions and protected under the Copyright Act, 1957 and other applicable intellectual property laws. These Terms do not grant you any rights in our IP beyond the limited right to use the Service as permitted here.

7. No professional advice

Klean Profit AI is a data analysis tool, not a tax adviser, chartered accountant, or legal adviser. Nothing in the Service constitutes financial, tax, GST, or legal advice. Always consult a qualified professional before making decisions based on your financial data.

8. Third-party services

The Service integrates with third-party platforms including Cashfree Payments (payment gateway), Zoho Books/Inventory, OpenCart, and Google Merchant. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of fitness for a particular purpose or merchantability. We do not warrant that the Service will be error-free, uninterrupted, or free from viruses or harmful components.

10. Indemnification

You agree to indemnify and hold harmless Future Simple Solutions and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Cookies

We use essential cookies to operate the Service and analytics scripts or cookies to understand usage and improve the Service:

We do not use advertising cookies, and we do not sell personal data. Disabling essential cookies in your browser will prevent you from signing in; blocking analytics scripts may reduce measurement accuracy but will not stop the core Service from working.

12. Availability and uptime

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses arising from downtime outside our reasonable control, including failures of internet infrastructure or third-party services.

13. Limitation of liability

To the maximum extent permitted by applicable Indian law, our total liability to you for any claim arising from use of the Service is limited to the lesser of: (a) the fees you paid in the 3 months immediately preceding the claim, or (b) ₹50,000 — whichever is lower. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if we have been advised of the possibility of such damages.

14. Termination

• By you: Cancel your subscription at any time from account settings. These Terms terminate on the expiry of your current billing period.
• By us: We may suspend or terminate accounts that violate these Terms, with notice where reasonable. Immediate termination applies for serious violations (fraud, abuse, security breaches).
• On termination, your right to use the Service ceases. Provisions that by their nature should survive (including sections 6, 9, 10, 13, 15) remain in effect.

15. Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through mutual negotiation within 30 days of written notice. If unresolved, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, Karnataka, India. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction in India.

16. Changes to these Terms

We will notify you by email of material changes at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms. The most current version of these Terms is always available at kleanprofit.com/terms.
